Stella Matutina Social Welfare Foundation Gan Dan Academy (hereinafter referred to as “the Academy”) has established Terms of Services to improve service efficiency and protect the rights of Users:

Agree to and Review the Terms

Once the User registers and begins to use the services of the Academy, the User agrees to the content of these terms. All services provided by the academy are based on these terms. Any User should read these terms, the Personal Data Protection Act, or relevant regulations released in the future before using services of the Academy. Users must comply with the terms and the ROC laws and regulations. If the User cannot follow the content of these terms or does not agree to the terms, the User shall not use the services of the Academy in order to protect the rights of other Users of the Academy.

Enter Correct Information

1. Users registering must provide authentic, up-to-date, and complete personal information.
2. The User’s login information must not be forged, false, or fraudulent (e.g. personal data and credit card information). Once discovered, the Academy may refuse to let the User join as a user, and may suspend or terminate the User’s qualification. Should relevant laws of the ROC be violated, the perpetrator shall be responsible for his or her actions.
3. If the User’s personal information (e.g. address, phone number, and other login information) has changed, the User shall update his or her relevant information to ensure accuracy and completeness. If the information provided are incorrect or inconsistent, the Academy has the right to suspend or terminate the account, and to stop the User from accessing the services.
4. The Academy will not disclose User’s personal data to third parties, except for data sharing or public welfare, the Academy may use the information under noncommercial purposes (Please refer to the relevant regulations in “Privacy Policy” of the Academy).
5. The User must keep his or her password safe, and must not reveal the password to others; Actions done under the same ID number and password are considered actions done by the User of the account and the holder of password.
6. If the User discovers or suspects third parties using his or her ID number or password, the User must contact the Academy immediately, and the Academy will take necessary measures. The academy only provides services to the Users, and does not bear any form of liability.

Personal data and Intellectual Property

1. Users should respect the copyright of the Academy website and the Personal Data Protection Act for individual Users, and must not violate the law.
2. Users should be responsible for keeping safe of their own account and password, and should bear the responsibility if the accounts and passwords are lost or leaked.
3. Actions done by using the account and password of a User, will be considered as done by the User himself or herself. In the event that a dispute arises, the User should take full responsibility.

Usage Instructions

1. Users wishing to access the Academy website shall use the login account and password upon joining and accepting the services.
2. If the User loses his or her account and password, or realizes the account and password are stolen by a third party for no reason, the User shall notify the Academy website of the loss immediately; If the User fails to notify the Academy website in time, and causes the Academy to be unable to effectively prevent and modify, the User should be responsible for all loss incurred. 
3. Each time the User finishes using the services, the User should log out and close the window to protect his or her own right.
4. When account and password are compromised, the perpetrator should be held responsible. The Academy has the right to claim damages, including but not limited to litigation costs, attorney fees, and reputation losses.

User Service Regulation

1. The term “User” in this regulation refers to those who have joined the Academy website and have been approved.
2. Using the services of the website means agreeing to the regulations and relevant laws of the Terms of Services.
3. The Academy website reserves the right to review the eligibility of Users. For Users who have already joined, the Academy also reserves the right to disqualify the Users.
4. The revision of the Terms of Services applies to all Users. When the Academy website modifies the Terms of Services, it will only be announced on the website, and Users will not receive individual notifications. Users should check the website announcement regularly. 
5. With regard to the regulations of the online courses, Users can refer to the “Frequently Asked Questions” on the website. If Users have any doubt or find any repetitive content, this regulation shall prevail.

Code of Conduct

1. All actions taken while using the services should comply with ROC laws and regulations; Users should take full responsibility for all actions.
2. Users guarantee never to user the services for illegal purposes or in an illegal or commercial manner, and should comply with the usage practices of Internet. 
3. Users shall guarantee never to use the services to engage in acts that infringe upon the rights of others or acts that are against the law. In the case of any direct or indirect loss caused by such violation, Users shall be liable for damages. (Including but not limited to litigation costs, attorney fees, etc.)
4. Users should adhere to the following rules when using the services of the Academy website:
   1. Do not harm on the personality rights, trademark rights, copyrights and other intellectual property rights of others.
   2. Do not use words that violate public order or boni mores or are against other laws.
   3. Do not present your views in an extreme political or religious sense.
   4. Do not use the Academy website to provide other inappropriate uses, including but not limited to graphic database, software for web development, etc. Making commercial transactions, soliciting advertisers or sponsors are also not allowed.
   5. Other acts that violate the content of the “Terms of Services” of this Academy website or acts that are sufficient enough to damage the reputation of the Academy.

Termination of User’s Right

The Academy reserves the right to suspend or terminate the provision of the services at any time and without notice if Users engage in any act that violates the laws and the Terms, or may infringe upon the right of a User or a third party when using the services. 

Infringement and Disclaimer

1. The website will suspend or terminate its services under the following circumstances:
   1. When replacing, upgrading, maintaining or constructing software and hardware related equipment of the services.
   2. In the event of a sudden failure of an electronic communication device
   3. Natural disasters or other force majeure events that causes the website to be unable to provide services.
2. The perpetrator shall be liable for any property or non-property damages caused when using the services of the Academy, the website is not liable for the damages.
3. The User shall back up the text, pictures and other materials of the uploaded message; The Academy shall not be responsible for the loss or damage of all or part of the content for any reason.
4. The Academy does not guarantee for the purposes or results of using the services, nor does the Academy guarantee that software related with the services are free from defects or will be amended.
5. All statements, opinions or behaviors on the Academy website represent only individual opinions; They do not represent the position of the Academy and the Academy is not responsible for them. The Academy does not guarantee the correctness of the User's self-proclaimed identity.
6. The Academy shall condemn and suspend any intimidation, defamation, obscenity or other illegal acts to or through the services. The website also cooperates with the Judiciary to investigate and provide information to Judicial authorities, but the perpetrator shall be held responsible for all the actions done.
7. Users shall bear the risks for any goods or services that are published, sold or delivered through the sponsors or advertisers of the Academy. If Users claim for compensation from the goods or service provider in accordance to the law, it is completely unrelated to the Academy.

Protection of Intellectual Property Rights

1. The intellectual property rights of the software, programs and content on the Academy website, including but not limited to works, pictures, files, information, materials, website structure, web design, are owned by the Academy website or other rights-holders in accordance with the law. The intellectual property rights include but are not limited to trademark rights, patents, copyrights, trade secrets and proprietary technology. No one may infringe intellectual property rights.
2. No one can use, modify, reproduce, broadcast publicly, adapt, present publicly, distribute, release in public, reverse engineer, de-compile or disassemble said software or program without permission. Using or citing the aforementioned software, program or website contents requires the prior written consent of the Academy or its licensees. Users will be held responsible to the Academy website and its licensees for any damages caused if Users violate any of the above. (Including but not limited to litigation costs, attorney fees, etc.)

Terms Modification Rights

1. When Users start using the services, it implies that Users have fully read, understood and agreed to accept the content of these terms. The Academy reserves the right to modify and change the content of these terms at any time, and will not notify the User individually. Users are advised to periodically review the Terms of Service. If Users continue to use the services after the modification and change of these terms, Users are deemed to have read, understood and agreed to accept the modifications or changes.
2. The Academy reserves the right to modify or terminate the provision of the services temporarily or permanently. Users may not request any compensation.
3. With regard to any disputes arising from the use of the website, the website only provides User information to the judicial authorities for investigation. Information will not be provided to individuals or company.

Transaction with Advertisers

1. Any form of communication or business dealings with advertisers conducted by Users through the services, or Users’ participation in promotional activities, including payment and delivery of related goods or services, and any other relevant terms, conditions, warranties or declaration, are behavior between Users and advertisers, and has nothing to do with the Academy.
2. The Academy is not responsible for any loss or damage of any nature suffered by the User as a result of any transaction or transaction with the Advertiser.

Compensation for Infringement

1. The User understands and agrees to all acts on the Academy website. In the event of a violation of these terms or infringement upon any rights of others, the User must bear the relevant risks and legal liabilities.
2. The User shall be liable for all damages due to his or her improper behavior which causes damage to a third-party.
3. The aforementioned compensation for damages shall be handled by the victim and the perpetrator according to the law, the Academy will not intervene in legal disputes.

Prohibition on Infringement

1. Without formal authorization from the Academy, Users may not violate any intellectual property rights of the services, and may not copy, duplicate, sell, resell or use for any other commercial purpose.
2. Users may not engage in any commercial or placement strategies on published educational content.
3. With regard to the aforementioned behaviors, should the Academy determine that the behavior has violated the rules, the User shall unconditionally remove the content. Should any infringement be found, the User shall be fully liable.

Termination of Service and obligations of the Academy

1. The Academy refers the right to change the content of all services, or to terminate the service of any User.
2. If the User wishes to terminate his or her User account, he or she may contact the Academy via email to destroy User information.
3. The User loses all benefits and rights provided by the Academy starting from the day the User is notified of the termination of his or her account, (subject to the date on which the Academy sends out the email).
4. To avoid malicious infringement that may cause the User to lose his or her rights, when the User informs the Academy to terminate his or her account, the Academy shall confirm the correctness of the request via email before terminating the User account. The User must reply in order for the process to begin.

Supplementary Regulations

1. The content of the Terms of Services and disclaimer of this Academy both constitutes the Terms of Services.
2. The Academy reserves the right to claim for damages if the Academy is investigated or prosecuted by a third party or an administrative agency due to the act of the User when using the services.
3. The maintenance of the software and hardware equipment of the Academy may cause the system to stop or suspend, the Academy shall notify Users depending on the situation.
4. Please notify the Academy upon discovering any acts that violates the Terms of Services.

6. Any dispute arising from or related to the terms shall be submitted to the jurisdiction of Taiwan Taipei District Court for the first instance level.
